1: Overview: EggX is a digital marketplace connecting retailers, supermarkets, distribution chains, wholesalers, traders, bakeries, restaurants, canteens, hospitals, and other institutions with poultry farms and eggs aggregators across Pakistan. This platform allows buyers to purchase fresh eggs directly from producers at competitive prices that meet their quantity and quality requirements.
EggX allows poultry farmers and eggs aggregators to directly access a large customer base network, enabling them to sell their products efficiently and at competitive prices. It also improves market transparency and real-time pricing by eliminating intermediaries such as brokers and commission agents.
2: Acceptance of Terms: By downloading, accessing, or using the “EggX” mobile application, website, or services (collectively, the “platform”), you agree to be bound by these terms of use (“terms”). If you do not agree, you must not use the platform.
3: Eligiblity: You must: be at least 18 years old, have legal capacity to enter into a contract, provide accurate and complete information. If you are using the platform on behalf of a business, you confirm you are authorized to bind that entity.
4: User Account and KYC: To use and access platform and its features, you must create an account by completing the registration process. You agree to: provide accurate and up-to-date information, maintain confidentiality of login credentials, accept responsibility for all activities under your account.
For payment processing and regulatory compliance, you may be required to provide: Personal Identification information like CNIC, NTN or business registration details. The company reserves the right to verify user identity (KYC) and may suspend accounts that fail verification.
5: Acces and Use of Platform: The platform grants you a limited, personal, non-exclusive, non-transferable and non-sub licensable right to use the platform, subject to the terms and the following representations and warranties: you may only access the platform using authorized and lawful means; the platform shall not be liable for any failure or default to provide access to the platform on account of any failure or delay by you to register with the platform for such access; any configuration or set up of the devices for access to the platform shall be your sole responsibility.
6: Upgrades & Monitoring: You acknowledge that the platform may, from time to time, implement updates, upgrades, or new versions of the platform to fix errors, improve performance, or enhance functionality. Such updates may result in changes to the platform’s features or appearance. Continued use of the platform may require installation of these updates. You further acknowledge and agree that all communications conducted through the platform, including the Company’s messaging systems, may be monitored or recorded for quality assurance, training, and operational purposes. By using the platform, you provide your consent to such monitoring.
7: Servieces On The Platform: o know how EggX application works, please refer to https://farmex.pk/eggx/#howitworks. Everything we offer on the platform, including but not limited to the below listed are collectively refer to in these terms as the “services” and shall include: (a) registration of user on the application, (b) provide real-time digital marketplace for listing egg inventory, (c) access to large network of verified buyers place competitive bids, (d) transparent pricing, (e) order confirmation orders without prolonged negotiations, (f) secure payment processing with cash-on-delivery (COD) facility, (g) smart consolidation of orders to optimize transport efficiency and reduce logistics costs, (h) automated logistics assignment through registered transporters, (i) Strict time-bound operations, (j) monitoring of logistics activities, (k) end-to-end digital tracking and record-keeping to ensure transparency and accountability, (l) maintain product freshness, reduces waste and enhance market access for both buyers and sellers.
Further, we may from time to time add new services, substitute a new service for one of the existing services, or discontinue or suspend one the existing service(s). Any such amendments to the services will be subject to these terms as well as any additional terms of use that we may release for those specific services. You agree that the company will not be liable to you or any third-party for any suspension or discontinuation of any of the services.
8: Order Processing: Poultry farmers and aggregators list their products on the platform, mentioning the quantity of stock available for sale, its asking price and other specifications.
Verified buyers, including retailers, supermarkets, wholesalers, distributors, bakeries, restaurants, canteens, and corporate clients, review seller offers and submit competitive bids based on required quantities, preferred delivery locations, and current market demand.
Once a bid match with a seller’s asking price, the platform automatically executes the trade by locking the transaction. Both parties are promptly notified to confirm the agreed price and quantity purchased.
Once a transaction is confirmed, the platform consolidates multiple confirmed orders within the same geographic route to optimize logistics efficiency. Rather than processing fragmented
shipments, orders are pooled until a commercially viable vehicle load is achieved, thereby minimizing transportation costs and improving operational efficiency.
Once the consolidated shipment threshold is met, the platform assigns the load to a registered transporter. The transporter receives detailed execution instructions, including pickup points, load quantities, routing sequence, and designated delivery locations for each buyer.
9: Responsiblities: The seller must prepare the merchandise and finalize shipping arrangements within one hour of order confirmation. Failure to meet this deadline will result in a penalty of 10,000 rupees per shipment, which will be automatically deducted from the seller's credit limit or recovered through other means.
The transporter collects and delivers the goods within a strict timeframe. All deliveries must be made within five hours of collection. The goods will be delivered to a pre-arranged collection point, where the buyer or their representative will receive them.
The buyer is fully responsible for inspecting and verifying the quantity and quality of goods prior to acceptance. Upon confirmation, the buyer shall make payment of the goods in cash to the transporter for the total agreed amount at the time of delivery.
Throughout the entire process, the platform maintains full transparency by recording all bids, transactions, payments, and logistics activities digitally. The platform is designed to facilitate and optimize the trade of perishable goods, ensuring fast delivery, fair pricing, and product freshness, while reducing waste and improving marketplace access for both buyers and sellers.
10: Payment Platform: In consideration for access to and use of the platform and services, the user shall pay the applicable subscription fee(s) as determined and communicated by the Company from time to time, whether via the Platform or through other communication channels, including but not limited to email, telephone, WhatsApp, or social media.
All payments shall be made exclusively through authorized payment methods, including credit card, debit card, internet or mobile banking, or direct cash deposit at a designated bank counter. Under no circumstances shall any payment be made in cash to any employee, agent, or representative of the Company, and the Company shall bear no responsibility or liability for any such unauthorized payments.
Access to the Services is conditional upon full and timely payment of the applicable subscription fee(s). In the event of non-payment, partial payment, or delayed payment, the Company reserves the right to immediately suspend or terminate access to the Services without prior notice, and shall have no liability whatsoever for any loss, damage, or interruption arising during such period of non-payment.
The Company reserves the absolute right, at its sole discretion, to introduce, revise, or impose fees and charges for any existing, modified, or new Services at any time. Any changes to subscription fee(s) shall become effective upon the expiry of seven (7) days from the date of notice, which may be provided via the Platform or through other communication channels, including email or social media.
Notwithstanding the foregoing, the company may, at its sole and unfettered discretion, grant full or partial waivers, discounts, or exemptions of subscription fee(s) to any user(s), without creating any obligation or precedent.
The user expressly acknowledges and agrees that all payments are processed through independent third-party payment service providers (“Payment Processors”). Accordingly, all transactions shall be subject to the applicable terms, conditions, and privacy policies of such Payment Processors, in addition to these Terms. The Company, including its directors, officers, shareholders, employees, and agents, shall not be liable, whether in contract, tort, or otherwise, for any direct, indirect, incidental, special, punitive, or consequential damages, losses, or claims arising out of or in connection with the use of, or inability to use, such Payment Processors.
11: Refunds, Cancellations and Chargebacks: Due to the perishable nature of the products, orders that have already been processed, dispatched, or consolidated are non-cancellable and non-refundable, and shall not be subject to replacement.
You should not try to reverse a payment through your bank without permission. If you have any problem or disagreement, you must first contact the company and try to solve it with them directly before taking any other action.
12: Data Privacy: Your personal data is processed in accordance with applicable laws of Pakistan, including the Prevention of Electronic Crimes Act, 2016. By using the platform, you consent to collection and use of your data as described in the privacy policy.
13: Intellectual Property: All content on the platform, including software, logos, and materials, is owned by the company or its licensors. You may not copy, modify, distribute, or reverse engineer any part of the platform.
14: Geographic Limitation:You may access the platform or its features only in geographic locations where EggX offers the same on account of the applicable law or any order, rule imposed by concern statutory authorities. EggX may use technologies to verify your geographic location.
15: Third-Party services: The platform may contain links to websites or applications controlled by parties other than the company (e.g., payment gateways, logistics providers). The company is not responsible for the performance or actions of such third parties.
16: Disclaimer of Warranties: You acknowledge and agree that the application and related services are provided on an “as is” and “as available” basis and that you use it at your own risk.
To the fullest extent permitted by law, all warranties of any kind, whether express or implied, are excluded. This includes any promises that the service will be suitable for a specific use, of good quality, owned properly, or not violate anyone else’s rights.
There is no guarantee that the platform will always; work without interruptions, errors, or delays, be fully secure or free from technical issues, provide complete, accurate, or up-to-date information. All information, prices, listings, and transactions are provided for general use only, and any reliance on them is at the user’s own risk.
The company is not responsible for any loss or damage, direct or indirect, arising from the use of or inability to use the platform or its services.
17: Idemnification: By accepting these terms and conditions and using the platform, you agree to defend, indemnify, and hold harmless the company, its directors, shareholders, officers, and other representatives from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or related to: a) your access to the platform, b) your use of the platform's services, c) your breach of these terms and conditions or any applicable law or regulation, d) your violation of any third-party rights, including intellectual property rights or any other rights of any individual or entity, or e) any third-party claim based on the content of communications you transmit.
These terms and conditions will remain in effect until terminated by you or us in accordance with the provisions below.:
18: Termination By You: You can stop using the platform at any time by uninstalling it or unsubscribing from "EggX". After this termination, you will no longer be bound by these terms.
19: Termination By Us: The company may, at its sole discretion and at any time, with or without notice, terminate or suspend its services and unsubscribe you, with or without cause, if: a) you breach any provision of the terms and conditions, the privacy policy, or any other applicable terms or policies; b) the company is required to do so by law; or c) the company has decided to discontinue, with or without cause, access to the platform (or any part thereof), either generally or specifically for you. The company will not be liable to you or any third party for such termination.
20: Consequences of Termination: Once your account has been terminated, all its content will be permanently deleted, except to the extent that we are legally required or permitted to retain it. The company may, at its sole discretion, take legal action against you if necessary, including in the event of a breach of these terms and conditions. Termination will not affect your responsibilities or obligations arising prior to such termination. For the avoidance of doubt, it is specified that the deletion, uninstallation of the platform, and/or the interruption of our services does not relieve you of your liability and your obligation to repay any sums due, if any, in accordance with these terms and conditions.
21: General Provisions: In the event of any conflict or inconsistency between these terms and conditions and any element of the platform or related to it, these terms and conditions shall prevail. Our failure to exercise any right provided for in these terms and conditions shall not be construed as a waiver of that right. Our rights under these terms and conditions shall remain applicable even after the interruption of access to or use of the platform. If any provision of these terms and conditions is deemed invalid or unenforceable, it shall be severed, and the remaining provisions shall remain in full force and effect to the extent permitted by law. Any notice from the company concerning the platform or these terms and conditions will be posted on the platform or sent via email or WhatsApp to the mobile phone number you have provided.
22: Governing Law and Jurdisdiction: These terms are governed by the laws of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.
23: Changes To Terms: The company may modify these terms at any time. Continued use of the platform constitutes automatic acceptance of the updated terms.
